Terms of Service
The agreement between you and MATalogics: what you can expect from us, and who is responsible for what.
01 The agreement
These terms are between you and MATalogics, a sole proprietorship in Lahore, Pakistan, operating Cosalyx. Creating an account or using the product means you accept them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.
02 Your account
You must be at least 18 and able to enter a contract
The information you give us has to stay accurate
You are responsible for what happens under your account, including your team members’ actions
Keep your password to yourself, and tell us promptly if you think someone else has it
You may invite team members and create sub-accounts. You remain responsible for their use of Cosalyx under these terms.
03 What you may not do
Send unsolicited, deceptive or unlawful messages through any channel you connect
Upload malware, or anything you do not have the right to upload
Access another customer’s data, or probe our systems without written permission
Resell Cosalyx outside the agency features built for exactly that
Reverse engineer the service, or use it to build a competitor
Messaging rules are stricter than general use and sit in a separate Acceptable Use Policy, which forms part of these terms.
04 Your data stays yours
You own everything you put into Cosalyx. We claim no ownership of your contacts, conversations, files or records; we are granted only the permission needed to host and process that data so the product works for you.
Leaving is not a trap
Your WhatsApp number is registered to your business with Meta, not to us; stop using Cosalyx and it goes with you. You can export your data at any time while your account is active.
05 Fees and billing
Subscription fees are stated at purchase and billed in advance
Some marketplace apps carry their own monthly fee, per connected item
Fees exclude taxes, added where the law requires
Fees are non-refundable except as set out in the Refund Policy
Meta bills you directly
Conversation charges on WhatsApp go from Meta to you: a separate relationship we do not sit inside. We do not mark it up, collect it, or control it. What you pay us is for the Cosalyx connection and the software around it.
If you are an agency
You set your own price for apps you offer your sub-accounts, and the margin is yours. You bill your own clients; we invoice you at the platform rate regardless of what you charge them.
06 Connected services
Meta’s WhatsApp Business Platform, Meta Lead Ads, Google services and others are governed by their own terms, which you accept when you connect them.
We are not responsible for their behaviour. If Meta changes its pricing, restricts your number, rejects a template, or lowers your messaging limit; that is Meta’s call. We will show you what happened and help where we can, but we cannot overturn it.
07 Availability
We work to keep Cosalyx available and give notice of planned maintenance where we reasonably can. We do not currently offer a contractual uptime guarantee. If that changes, it will be stated here rather than assumed.
We may change or withdraw features. Where a change materially reduces what you are paying for, we tell you first.
08 Suspension and termination
Cancel any time from your account settings; it takes effect at the end of the period you already paid for.
We may suspend or close an account that breaches these terms, has unpaid fees after we have asked, or endangers the service or other customers. Except where the breach is serious or unlawful, we warn you first and give you a fair chance to fix it.
09 Liability
Cosalyx is provided “as is”. To the extent the law allows, we exclude implied warranties of merchantability and fitness for a particular purpose.
We are not liable for indirect or consequential loss, lost profits, or lost business. Our total liability in any 12-month period is limited to the fees you paid us in that period. Nothing here excludes liability that cannot lawfully be excluded, including for fraud.
10 Changes to these terms
The date at the top shows the current version. For a material change we email account owners at least 14 days before it takes effect; continuing to use Cosalyx after that date means you accept the new terms; if you do not, you may cancel.
11 Governing law
These terms are governed by the laws of Pakistan, and the courts of Lahore have exclusive jurisdiction over any dispute arising from them.
